What is the current share price for this private equity offering?

The offer price is currently 78p per share. The 2022 valuation indicated a share price range of 78p – 88p. Updated figures and adjusted valuation are being published soon. The discounted price is currently 55p per share. Once the updated figures arrive (expected before end of July 2024), the price will inevitably rise.

How many shares are available for sale?

This particular private treaty seller has 11,769,224 shares available for sale by private treaty, currently held by nominees. The board has the option to participate in up to 50% of the sale, at their discretion.

In what currency are the shares denominated?

The shares are denominated in GBP (British Pounds).

You mention a discounted price, is there a regulatory filing for selling at a discount?

As the PLC and its shares are not listed and shares are being offered here by private treaty from a private shareholder, no regulatory filing is required prior to sale. All sales must be approved by the board and share ownership is recorded on the company share register and published at Companies House.

Is there a moratorium period on the private equity offering?

There is no moratorium on the sale of privately held shares provided they don’t exceed the agreed share price and all sales are approved by the board. There is no vesting period; you can sell your shares freely once the shares have been listed on an exchange or on the peer-to-peer platform.

When will these shares launch on the UK-based peer-to-peer share trading platform?

The process of obtaining an ISIN and initiating CREST settlement is in progress, with the launch in its final stages. An update on the exact timeframe will be provided shortly. This does not replace the planned listing on the Singapore Stock Exchange.

Why is there no current trading price mentioned on the website or found through Google searches?

As the company is unlisted, there is no public trading price. Officially the share price is currently valued at around 78 pence. However this price is based on the November 2022 audited accounts and takes into account the subsequent increase in probable asset value in the company.

Why have the filings of accounts been delayed?

In 2022, the company underwent a strategic board review, resulting in some administrative delays in finalising the 2022 accounts. These challenges have been resolved.

Why does the last filing history differ from the information in the pitch deck / documents I have seen that accompany this sale?

Since the November 2022 audit, there have been significant increases in resource estimates:

  • Gold reserves increased from 2 million ounces to over 10 million ounces (5x).
  • Land holdings grew from 8,000 hectares to nearly 10,000 hectares, with options to acquire an additional 10,000 hectares (2.5x).
  • Estimated value of mineral deposits grew from $4 billion to $26 billion, with potential for this to be 3 to 4 times higher (7.5x).
    The latest financial statements (up to November 2023) are in the final stages of preparation and expected to be published imminently, targeting publication before the end of July.
